Live-Office Contributor Agreement

Thank you for your interest in contributing to the LiveOffice project. In consideration for the potential inclusion of Your Contributions in the LiveOffice Product and the license back, you agree to the following terms and conditions:

1. The term "Your Contributions" means any of your past, present and future contributions source code, patch, graphic, specification, manual, documentation, or any other material posted or submitted by you to a project.

2. You hereby assign to LiveOffice joint ownership all right, title and interest worldwide in all worldwide common law and statutory rights associated with the copyrights, copyright applications and copyright registrations in Your Contribution, and to the extent allowable under applicable moral laws and copyright conventions. You agree never to assert against LiveOffice or its licensees or transferees any moral rights therein. You understand that (a) this agreement may be submitted by LiveOffice to register a copyright in Your Contribution, and (b) LiveOffice may exercise all rights as a copyright owner of Your Contribution, including enforcement against infringers. LiveOffice grants to you a non-exclusive, perpetual, irrevocable, worldwide, royalty free, transferable IP Rights license to reproduce, prepare derivative works of, distribute (internally and externally, in object code and, if included in Your Contributions, source code form), make, use, sell, offer for sale, publicly perform and publicly display Your Contributions, with the right to sublicense all of these rights through multiple tiers of sublicensees.

3. You hereby grant to LiveOffice, and to any party who receives Your Contribution, a perpetual, irrevocable, non-exclusive, worldwide, no-charge, royalty-free, license under any patents owned by or licensable by You at any time without payment to third parties, to make, have made, use, sell, offer to sell, import and otherwise transfer Your Contribution in whole or in part, alone or in combination with or included in any product, work or materials arising out of the Project, and to sublicense the foregoing rights to third parties through multiple tiers of sublicensees or other licensing mechanisms at LiveOffice's option.

4. You represent that, except as disclosed in Your Contribution submission(s), each of Your Contributions is your original creation. You represent that Your Contribution submission(s) include complete details of any license or other restriction (including, but not limited to, related patents, copyrights and trademarks) associated with any part of Your Contribution(s) (including a copy of any applicable license agreement). You agree to notify LiveOfifce of any facts or circumstances of which you become aware that would make your representations in this Agreement inaccurate in any respect.

5. You represent and warrant that You are legally entitled to grant the above assignment and licenses. If Your employer has rights to intellectual property that You create, You represent that You have received permission to make the Contribution on behalf of that employer, or that Your employer has waived such rights for the Contribution. You represent and warrant that the Contribution is Your original work of authorship, and to the best of Your knowledge, does not violate any other party's copyrights, trademarks, patents or other intellectual property rights, and that no other person claims, or has the right to claim, any right in any invention or patent related to the Contribution.

6. You provided Your Contributions AS IS, WITHOUT WARRANTY OF ANY KIND AND DISCLAIMS THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Similarly, the license back to Your Contributions are provided AS IS, WITHOUT WARRANTY OF ANY KIND AND DISCLAIMS THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT

7. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO ANYONE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE USE OF YOUR CONTRIBUTIONS, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. You understand that the decision to include the Contribution in any product or source repository is entirely that of LiveOffice, and this agreement does not guarantee that Your Contribution will be included in any product.

9. IN NO EVENT WILL YOU OR LiveOffice HAVE ANY LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY.
